Terms and Conditions of Service
Effective Date: 1st June 2025
1. Introduction
These Terms and Conditions (“Agreement”) govern all services provided by PIGSO TECHNOLOGIES (“Company”, “we”, “us”, “our”) to any client (“Client”, “you”, “your”), covering all structural, geotechnical, automotive, and other engineering design fields referenced on our website. By commissioning or engaging our services, you accept these Terms in full.
2. Scope of Work
- The exact scope, deliverables, timelines, and fees will be outlined in a separate Project Proposal, Quotation, or Statement of Work (SOW) agreed in writing by both parties before work commences.
- Changes to scope must be formally requested in writing and may be subject to revised costs and timelines.
- Any work or services not explicitly included in the agreed project document are outside our responsibility unless otherwise agreed in writing.
3. Project Execution and Delivery
- The Company shall carry out the work with reasonable skill, care, and diligence, using qualified personnel and industry-standard practices.
- The Company will make every effort to deliver work according to agreed timelines. Delays caused by unforeseeable events, force majeure, or delays in client feedback/materials are not the Company’s responsibility.
- Delivery of digital files or project deliverables shall be deemed complete once transmitted to the Client via agreed channel (e.g., email, file-sharing, customer portal).
- The Client agrees to provide all necessary information, feedback, and access in a timely manner to prevent project delays.
4. Payment Terms
- Payment structure (milestones/upfront/retainer/final) will be defined in the Project Proposal or SOW.
- Unless otherwise agreed, a non-refundable advance or deposit may be required before work begins. Remaining payments are due upon interim/final delivery.
- Late payments will incur interest at 2% per month (or the maximum allowed by law), plus any additional costs for debt recovery.
- All fees are exclusive of taxes (GST, VAT, etc.), which will be added as applicable.
- GST, VAT applicable for only Indian clients.
- No deliverables will be released (or full license provided) until all outstanding payments have been received by the Company.
5. Revisions & Change Requests
- Reasonable revisions to deliverables (as specified in the SOW) are included only as stated; additional revisions or changes requested by the Client after delivery or beyond agreed scope will be billed at our standard hourly rate or as otherwise agreed.
- All change requests must be made in writing and may affect project delivery schedule and costs.
6. Intellectual Property
- Unless otherwise negotiated, all intellectual property rights in deliverables (designs, drawings, documents, models, software, reports, and calculations) remain the property of PIGSO TECHNOLOGIES until full payment is received.
- Upon receipt of full payment, the Client will receive a non-exclusive, non-transferable license to use deliverables solely for the intended project or scope; any commercial reproduction, redistribution, or third-party use must be consented by the Company in writing.
- The Company reserves the right to use generic, non-confidential deliverables for portfolio or marketing purposes, unless otherwise agreed.
7. Confidentiality
- Both parties agree to keep all non-public business, technical, and project information confidential unless required by law or necessary for performance of the services.
- Confidential obligations remain in effect for three (3) years after project completion unless otherwise agreed.
8. Warranty & Limitation of Liability
- The Company warrants services will be provided with reasonable care, skill, and in accordance with generally accepted industry standards.
- No other warranties (express or implied) are offered regarding outcomes, third-party approvals, or specific project success.
- The Company’s total liability is limited to the total fees paid by the Client for the specific project. Under no circumstances will the Company be liable for indirect, special, incidental, or consequential damages.
- The Client is responsible for verifying, reviewing, and implementing deliverables and assumes sole responsibility for decisions made based on our work.
9. Termination
- Either party may terminate the project for material breach, if notified in writing and the breach is not remedied within fifteen (15) days.
- Upon termination, the Client will pay for all work performed up to the date of termination, including authorized expenses and non-cancellable commitments.
- Unused advance payments for unperformed services, if any, may be refunded at the Company’s discretion.
10. Dispute Resolution
- Both parties agree to first seek amicable resolution of any dispute.
- If unresolved, disputes will be referred to final and binding arbitration under the rules of Gujarat state.
- Any legal disputes will be handled under the laws of the State of Gujarat and the courts in Modasa/Arvalli or the nearest competent court in Gujarat will have jurisdiction.
- Arbitration or mediation (if preferred) can also be carried out in Gujarat.
- The governing law of this Agreement will be that of Gujarat state, excluding its conflict of law provisions.
11. Miscellaneous
- This Agreement constitutes the entire agreement between the parties and supersedes prior understandings.
- No modification is valid unless agreed in writing by both parties.
- If any provision is held invalid, the rest of the Agreement remains in force.
- The failure to enforce any provision does not constitute a waiver of that provision.
